For the graphics, you're going to need a graphic program like Paint Shop Pro or Photoshop or something along that line. Once you decide what program you want to use or what program you have, you can search google for tutorials. Basically you need to get familiar with the program and what it can do. There are a lot of tutorials here (http://www.jennyspage.net/tutorials.html) that cover the basics.

The layout, the coding part will depend on how you make your graphic. Once you're done with your graphic, you can look into table, div, frame layouts.

k...i got paintshop pro 7 and 8 and how big should i make my layout??

Any size you want (although you'll want to make sure it looks good in 800x600 resolution), pretty much. :)
